Greenbaum, Rowe, Smith & Davis LLP has added to its real estate and environmental practices with the hiring of two new attorneys.
Mitchel S. Kay, who joined the firm’s real estate department, concentrates his practice in commercial and industrial real estate law, assisting clients in matters related to transactions throughout New Jersey and New York, Greenbaum Rowe said. Prior to joining the Woodbridge-based firm, he was responsible for negotiating complex technology transactions at a leading global bank.
Kay’s background also includes intellectual property and media-related transactions such as trademark filings, sponsorship agreements, nondisclosure agreements and production agreements, the firm said in a news release. He is admitted to practice in New Jersey and New York.
Greenbaum Rowe’s other new hire, David C. Scott, is a member of its environmental department. His practice emphasizes transactions and regulatory compliance, allowing him to provide counsel on environmental issues that arise in real estate transactions, including hazardous waste and groundwater contamination, underground storage tanks and the cleanup and remediation of contaminated sites.
Scott has assisted in the representation of private equity firms, manufacturers, retailers, lenders and developers in mergers, divestitures, acquisitions and the purchase and sale of commercial and industrial properties, the news release said. His experience includes environmental due diligence and the negotiation of environmental provisions in purchase and sale, stock purchase and environmental indemnity agreements.
His background also encompasses the analysis and management of environmental, health and safety risks, the oversight of environmental compliance audits and compliance with federal and state environmental statutes. Those laws include the New Jersey Spill Compensation and Control Act, the Comprehensive Environmental Response, Compensation and Liability Act and the Resource Conservation Recovery Act.
Scott is admitted to practice in New Jersey, New York and the District of Columbia.
